Solar power giant SolarCity has engaged PR, financial and legal counsel amid to weigh Tesla Motors' $2.8B takeover offer.
Joele Frank, Wilkinson Brimmer Katcher is providing PR counsel to the publicly traded, San Mateo, Calif.-based company, which has formed a special committee of its board to evaluate Tesla's June 20, all-stock overture. Law firm Skadden, Arps, Slate, Meagher & Flom and financial advisor Lazard round out SolarCity's advisors in the deal.

The Wall Street Journal noted Tesla and SolarCity have numerous overlapping interests on their boards, including chairman and top shareholder Elon Musk.
SolarCity's independent committee includes two directors without connections to Tesla.
The bid has received a tepid reaction from Wall Street.
